Governance & Compliance

Governance that protects value. Compliance that earns trust.

A governance framework behind every investment and operating decision in the group, with clear responsibilities and disciplined disclosure.

Governance Pillars

Six pillars behind how decisions are made

Nebras builds its governance framework on the practices established for holding companies in the Kingdom, in line with the Companies Law and the regulations of the relevant supervisory authorities.

The Board

The Board approves group strategy and capital allocation policy, oversees performance and risk management, and approves material transactions under a written delegation of authority.

Board committees

Specialised committees — audit, risk and compliance, nomination and remuneration, and investment — operate under approved charters and report periodically to the Board.

Conflict of interest policy

Mandatory disclosure of any direct or indirect interest, with the interested party abstaining from voting on the matter in question.

Code of professional conduct

Binding conduct rules for all group and subsidiary personnel, covering integrity, gifts and hospitality, information protection, and dealings with third parties.

Anti-bribery and anti-corruption

A zero-tolerance policy on bribery and illicit practices, with integrity screening of third parties before contracting.

Whistleblowing channel

A protected reporting channel allowing group personnel and partners to report in confidence, with explicit protection from retaliation for good-faith reporters.
